한국기업의 해외직접투자에서 신규설립과 인수 선택 요인을 1979년부터 1997년 말까지 투자된 674건의 해외 생산법인을 대상으로 실증 분석하였다. 본 연구의 결과에 의하면 거래비용 요인으로서 해외사업경험이 적을수록, 본사와 현지자회사 간 생산 제품이 다를수록 한국기업은 인수를 선호하는 것으로 나타났다. 그러나 기존 연구 결과와는 다르게 기술적 지식을 많이 축적한 한국기업일수록 새로운 기술을 확보하기 위하여 인수를 선택하는 것으로 나타났다. 그리고 인수합병이론을 기반으로 해외시장에서 후발주자일 경우 혹은 해외인수경험이 있는 경우에는 한국기업은 인수를 선호하는 것으로 나타났다. 그러나 현지국과의 문화적 차이가 클 경우 신규설립을 선호할 것이라는 예상과는 달리 한국기업은 인수를 선호하는 것으로 나타났다.

This study analyzed the determinants affecting the choice between greenfield investment and acquisition by using 674 cases of Korean overseas manufacturing subsidiaries. As the determinants based on transaction cost theory, the Korean firms` international experience has a negative relationship with acquisition and the difference in products between parent and its subsidiary has a positive relationship with acquisition. However, contrary to previous studies, Korean firms with technological knowledge tend to prefer acquisition in order to acquire more advanced technology. Based on merger & acquisition theory Korean late-investors and investors with previous experience of international acquisition have a greater propensity to enter foreign markets through acquisition. However, contrary to the hypothesis that Korean investors will select greenfield investment when there is cultural difference between home and host country, they prefer acquisition.
