2012년 미국의 오바바 정부는 JOBS법이라는 제조업과 신생기업의 부흥을 위하여 크라우드펀딩을 입법화하였다. 크라우드펀딩은 신생기업들에 대한 새로운 자금조달의 수단으로 알려져 있으며, 여러 선진국에서 크라우드펀딩을 제도화하고 장려하고 있는 상황에 있다. 신생기업은 규모가 작고, 투자의 위험이 내포되어 있어 은행이나 벤처캐피탈로부터 직접 자금을 유치하기에는 어려운 상황에 있다고 할 수 있다. 따라서 크라우드 펀딩이 신생기업에게 투자를 함으로써 펀딩의 참여자는 수익을 얻고, 기업은 자금을 조달할 수 있다는 기능이 장점으로 알려져 있다. 따라서 입법자의 관점에서는 일반투자자들로부터 자금을 조달하는 소셜 펀드에 대한 역기능 방지를 위하여 다양한 관점에서 법제를 논의하고 있으며, 결국 펀드로부터 유동성을 공급받은 신생기업이 주식을 발행하여 초기 투자자들에게 이익을 제공하는 생태계 조성에 목적이 있다고 볼 수 있다. 본고에서는 소셜펀딩으로부터 투자 받은 기업이나 핀테크 기업들이 다음 단계로 성장하기 위해서는 코넥스 등의 전문투자자 시장을 활용하는 방안을 소개하기로 하였다. 즉 신생기업이 자본시장에서 자본을 조달할 수 있는 방안으로서 IPO 활성화 방안에 관한 연구라고 할 수 있다. 공모에서 가장 중요한 것은 공모가격을 정하는 일일 것이다. 현재 우리법으로 공모가격은 수요예측에 따라 인수회사와 발행회사가 협의하여 정하도록 되어 있다. 수요예측은 공모가격의 결정을 위하여 대표주간사가 공모희망가격을 제시하고, 수요를 조사하는 절차를 의미한다. 본고에서는 실질적으로 IPO의 유인이 되는 경영권 프리미엄을 산정하고, 규제 방안으로는 주식회사 외부감사에 의한 법률 적용과 불성실 예측 참여자에 대한 규제를 살펴보고 유의미한 결론을 도출하고자 하였다.
In the U.S., Obama administration enacted the Jumpstart Our Business Startups Act(which was signed into law on April 5th, 2012) with an entire support of congress. Also the U.K., Japan and other developed countries were in the Fin-Tech legislation. Businesses and startups too small or risky to attract funding from banks or venture capitalists are expected to use equity crowd-funding. Regulators say they tried to address concerns that such fundraising will create a channel for fraud by allowing upstart companies to issue illiquid shares to retail investors. Korea also introduced the crowd-funding financing venture companies in order to provide related financial environment. It was discussed in the National Assembly to revise the Capital Market and Financial Investment Business Act. Because the small company needs to be registered on the KONEX. In addition, Fin-Tech companies are funded by Small Business Administration both projects and programs. From this study, I throughly review the impact of the full revision of underwriting rules on the underpricing of IPOs(Initial Public Offerings) in various aspects. In Managers perspective, he have to decide whether start-up is going to issue an IPO. The results suggest that the practice in valuation of IPO stock has to be reconsidered. Investors determine the value of venture firms mostly based on their future earnings. Usually the startup’s asset value is considered as discounting present value. But early Investors were protesting against the inequitable division of the profits. So it is fair for early investors, to consider the right of management when the companies are listed on the Stock Exchange.
