재무제표 대리작성 근절을 위한 외감법 개정의 실효성에 관한 연구: 회계감사과정에서 변경된 당기순이익을 중심으로

본 연구는 외부감사인의 재무제표 대리작성 관행을 근절하기 위하여 개정된 주식회사의 외부감사에 관한 법률(이하 ``외감법``이라 한다)의 실효성을 실증분석 하였다. 개정 외감법은 감사인의 재무제표 작성 지원행위를 방지하고 회사의 재무제표 작성책임을 강화하기 위하여 모든 상장법인(2014년 7월 1일 시행)과 직전 사업연도 말의 자산총액이 1천억원 이상인 비상장법인(2015년 7월 1일 시행)들은 정기주주총회 6주전(연결재무제표의 경우에는 정기주주총회 4주전)에 감사인에게 재무제표를 제출함과 동시에 동 재무제표를 증권선물위원회(이하 ``증선위``라 한다)에도 제출하도록 규정하였다. 이러한 개정으로 인하여 외부감사인들은 적정한 감사시간을 확보할 수 있게 되고, 본인이 작성한 재무제표를 본인이 감사하는 자기검토위협이 줄어들어 회계감사의 독립성과 신뢰성이 제고되어 전반적인 감사품질이 높아질 것으로 기대된다. 본 연구는 잠정이익 변경 빈도와 변경된 금액의 크기를 이용하여 개정 외감법의 실효성을 분석하였다. 외감법 개정 이후 재무제표 대리작성 관행이 근절되고 있다면, 외부감사인의 자기검토위협이 감소되어 독립적이고 객관적인 입장에서 감사를 수행할 수 있고 감사시간이 과거에 비해 증가함으로 인해 감사과정에서 감사 전 이익인 잠정이익이 수정될 가능성이 외감법 시행 전에 비해 더 높아질 것으로 예상할 수 있다. 본 연구는 개정 외감법 시행후인 2014년의 잠정이익 수정(빈도 및 금액)이 제도 시행 이전인 2013년에 비해 더 증가했을 것이라는 가설을 설정하고 이를 분석하였다. 2013년과 2014년에 한국거래소에 상장(유가증권시장과 코스닥시장)된 기업 중 12월 결산 비금융업에 속한 2,390개의 기업-연도표본을 이용하여 분석을 수행하였으며, 분석 결과를 요약하면 다음과 같다. 첫째, 종속변수를 잠정이익 수정빈도로 하여 로지스틱 회귀분석을 수행한 결과, 개정 외감법 시행 이후잠정이익의 수정빈도가 증가한 것으로 나타났다. 둘째, 잠정이익 수정 금액을 이용한 최소자승 회귀분석 결과에서도 개정 외감법 시행 후의 잠정이익 수정 금액이 더 증가한 것으로 나타났다. 셋째, 시장별로 분석한 결과 코스닥 시장에서 외감법 개정의 효과가 더 크게 나타났다. 재무제표 종류별로 분석한 결과에서는 연결재무제표에서만 효과가 있는 것으로 나타났다. 감사인별로 분석한 결과에서는 BIG4 감사인에서 외감법 개정 효과가 더 큰 것으로 나타났다. 본 연구의 결과를 요약하면, 재무제표 대리작성 근절을 위한 개정 외감법 시행 이후 잠정이익의 수정이 개정 외감법 시행 이전에 비해 더 증가했다는 것이다. 이는 개정 외감법 시행으로 감사인의 감사시간이 증가하였고 외부감사인이 기업의 재무제표를 대리작성해주던 과거의 잘못된 관행이 시정됨으로써, 외부감사인의 자기검토위협이 감소하여 전반적으로 감사품질이 제고되고 있는 증거라 할 수 있다. 개정 외감법 시행으로 인해 긍정적인 변화가 나타나고 있다는 본 연구의 결과는 회계투명성 및 감사품질 제고를 위한 정책에 관심을 가지고 연구하는 연구자들과 감독 당국에 시사하는 바가 클 것으로 기대한다.

Management is responsible for the preparation and fair presentation of financial statements in accordance with generally accepted accounting principles and auditor’s responsibility is to express an opinion on the management assertions or financial statement in accordance with generally accepted auditing standards. According to the Certified Public Accountant Act, any certified public accountant, who is contracted to perform the business of auditing or certifying the financial statement of any specific company, shall be prohibited from making accounting records and compiling financial statement for such specific company during the contract term. However, many auditors often prepare company’s financial statement on behalf of the director for accounting of the company. In such cases, a threat to independence may arise. This threat is referred to ‘self-review threat’. Self-review threat is that auditors will not appropriately evaluate the results of non-audit service performed by the auditors or by others within the audit firm. Korean regulator and lawmakers were concerned about this unethical financial reporting practice. In response, the National Assembly passed a new amendment to the Act on External Audit of Stock Companies (hereafter in this paper referred to as ‘External Audit Act’) on December 19, 2013 (enforcement date July 1, 2014). Its intent is to strengthen corporate responsibility for the preparation of financial statements and reduce unethical corporate behavior. Under the amended External Audit Act, it cleary specifies who is responsible for preparation of financial statements, i.e., the company’s representative director and the director for accounting (or an employee responsible for the accounting affairs). The amended External Audit Act also requires that corporation (a stock-listed corporation or a company other than a stock-listed corporation whose total amount of assets is 100 billion won ore more at the end of the immediately preceding business year) submit its financial statements to the Securities and Futures Commission simultaneously when they submit their financial statements to an external auditor, not later than six weeks before the annual meeting (for consolidated financial statements, not later than six weeks before the annual meeting). KOSPI/KOSDAQ Market Disclosure Regulation enforces the firms to timely disclose the material business matters to Korean Exchange (hereafter in this paper referred to as ‘KRX’) without delay. The stock-listed corporation shall, when it falls the cases where subsequent to closing the book, the sales amount, operating profit or loss, or net income or loss for the latest fiscal year has been increased or decreased by 30% (15%, in the case of a large-sized corporation - asset size higher than two trillion won) or more, report the facts or the decisions (referring to the resolutions of the board of directors or the decisions made by its chief executive officer and the officers and significant shareholders, etc. who have the de facto decision-making authority. In this case, it shall be reported before making the announcement of or sending the notification for the call of annual shareholders’ meeting, and the sales amount, operating profit or loss, or net income or loss, as well as the status of total assets, debts and capital shall also be reported. This is referred to as ‘timely disclosure regarding income structural changes’. Unaudited preliminary earnings of companies are also disclosed with timely disclosure regarding income structural changes. These Unaudited preliminary earnings can be modified after the completion of external audit procedures. The purpose of this study is to examine whether the revisions of preliminary earnings are decreased after the amendment of External Audit Act. While the preliminary earnings number reflects the intention of the management, the reported earnings number is the outcome of negotiation between two parties even though it can``t be observable. We believe that this difference represents the auditor-client disagreement(Sohn and Lee 2008). If amended External Audit Act is effective, it may reduce an unethical financial reporting practice - auditor’s preparation of company’s financial statement on behalf of the director, etc. and also reduce auditor’s self-review threat. In such cases, independence would not be impaired by a self-review threat. And external auditors are more likely to compel clients to revise their preliminary earnings when accounting errors discovered, In this paper, we analyze 2,390 non-financial and December year-end firm/year observations listed in KRX for the years 2013-2014. We collect from KIND system(Korea Investor’s Network for Disclosure System) on preliminary earnings. Financial data is collected from KisValue database and we eliminate samples which do not disclose preliminary earnings. We find following empirical results. First, approximately 80% of the samples disclose the preliminary earnings number and more than 40% of them revised their preliminary earnings after the completion of external audit. Second, the frequency and amount of revision of preliminary earnings increased after the amended External Audit Act enforcement. This paper contributes to the literature by examining the effectiveness of amended External Audit Act using the revision of preliminary earnings. Overall, our results suggest that amended External Audit Act is effective and decrease auditor’s self-review threat to a certain extent. These findings would provide valuable insights to companies, external auditors, regulators, investors, and other interested users.
