금융산업 발전을 위한 은행법 등 개정방향에 관한 소고

은행과 관련된 영역에서 한국의 금융산업 발전을 위해 시급한 추진이 필요한 과제로 은산분리규제 완화, P2P 대출의 법적·제도적 기반 마련, 정책금융제도의 정비 및 은행의 핀테크 업무수행 지원을 선정하여 이에 대해 고찰해 보았다. 장기적 안목을 갖춘 경영계획과 투자, 자율경영 등이 은행산업 발전의 핵심이라고 할 수 있는데, 이를 위해 경영권을 안정적으로 확보하는 지배주주의 출현이 필요하다. 지배주주가 금융자본이면 바람직하겠지만, 산업자본이 지배주주가 되는 길을 원천봉쇄할 필요는 없다. 은산분리의 주된 논거인 은행의 사금고화를 막을 수단이「은행법」에 다양하게 규정되어 있고, 공정경쟁 저해행위를 금지하는 규정도「은행법」에 갖추어져 있기 때문이다. 일률적인 소유한도 규제 대신 특정 주주가 해당 은행의 의결권 있는 지분증권 중 일정비율 이상을 취득할 때마다 인가당국이 지분 취득 자격 여부를 엄격히 심사하면 될 것이다. 다만, 제도 도입 초기에는 우선 인터넷전문은행 등 특정 분야로 산업자본의 진출 범위를 제한하고, 제도의 정착여부 등을 보아가며 그 분야를 점차 확대하는 것이 좋겠다. 궁극적으로는 모든 분야로 문호를 개방하고, 지분도 100%까지 취득할 수 있도록 허용하는 것이 바람직하다. 은행의 사금고화 우려를 불식시키기 위해 은행에 산업자본인 대주주의 주식 취득을 원천적으로 금지하는 등 강화된 규제도 병행하여 시행할 필요가 있다. 이른바 P2P 대출은 현재 법적·제도적 기반이 없는 상태에서 차선책으로「대부업법」의 규율을 받고 있는데, 이에 따른 문제점이 많아 새로운 규율체계를 도입하는 것이 필요하다. 우선 투자자 보호를 위해 대출한도를 제한하고 P2P 대출업자가 자금공급자를 대신하여 대출채권 추심을 용이하게 할 수 있도록 하는 등의 보완조치가 필요하다. 아울러 P2P 대출업자가 명실상부한 대출중개를 할 수 있도록 규정하고, 투자형 크라우드펀딩 등 유사한 금융업과 정합성을 갖춘 감독체계를 마련하는 것이 바람직하다. 대부업자에 대한 부정적 인식 등을 고려하여 새로운 법률규정을 마련하는 것도 필요하다. 정책금융제도도 그 순기능을 최대한 유지시키는 가운데 지원의 효율성을 제고시키는 방향으로 정비가 필요할 것으로 보인다. 한국산업은행, 한국수출입은행, 중소기업은행, 무역보험공사 등 정책금융기관은 각 설립근거법에서 정한 목적에 맞는 지원을 최우선순위에 두어 업무를 수행해야 한다. 중소기업 지원, 기업의 해외진출 지원, 대외채무보증 등 기관간 중첩 분야를 해소하도록 법 개정이 이루어지는 것이 바람직하다. 날로 그 중요성을 더해가는 핀테크 관련 업무를 은행이 효율적으로 영위하도록 뒷받침하기 위해 은행이 핀테크 관련 회사를 자회사로 둘 수 있도록 관련 규정을 명확히 하는 조치도 필요한 것으로 보인다.

In order to develop the banking related sectors in Korea, we need to study four major interests: an appeasement policy for the separation of industrial and financial capital, making legal bases for peer-to-peer(P2P) lending, reorganizing the political financial system, supporting banks` fin-tech businesses. Long-term business strategy establishment and autonomous management are essential for developing the banking industry. There needs to be dominant stockholders that can secure the control of the relevant bank, so that the bank may be managed in this way. Though it is more desirable for the financial capital to be the dominant stockholders, there are no reasons to prohibit industrial capital from owning banks. The primary basis of an argument for separation of industrial and financial capital is to prevent dominant stockholders from making the relevant bank their own private safe. Fortunately, the Banking Act has articles that prevent this side effect and prohibit hampering fair competition. With these issues in mind, the revision direction of the Banking Act is as follows: Whenever a stockholder acquires the relevant bank`s voting equity securities exceeding an amount equivalent to a particular ratio, financial authorities will only have to strictly verify whether the stockholder meets the requirements to become a dominant stockholder. Nevertheless, evolutionary approach is desirable considering that it will be a newly introduced system. At the first stage, industrial capitals should be allowed to own only certain types of banks such as internet banks, and their stakes should be restricted to a particular ratio such as fifty percent or less of voting equity securities. As we move along our timeline those kinds of regulations should be eased gradually. Ultimately, financial capitals should be permitted to have one hundred percent of voting equity securities issued by all kinds of banks. Meanwhile, strengthened regulations are needed to dismiss fear that financial capitals might make the relevant bank their own private safe. One example is that the revision will prohibit banks from buying stocks issued by their dominant stockholders who are financial capitals at the same time. There is no law directly regulating P2P lending. Therefore, P2P lending is indirectly regulated by the Act on Registration of Credit Business, etc. and Protection of Finance Users. Since there is no law directly regulating P2P lending, complementary measures need to be taken by law. First, the relevant law should provide a lending limit to protect investors. Second, funder`s credit collection has to be easy. Third, P2P lending firms should be able to be truly brokers, not lenders, to efficiently do their business. In addition, a supervision system pertinent to P2P lending should be established. A new act directly regulating P2P lending should be established. The political financial system needs to be reorganized to increase efficiency of financial aid while keeping its positive function. Political financial institutions, such as Korea Development Bank, Export-Import Bank of Korea, Industrial Bank of Korea, Korea Trade Insurance Corporation and Small and Medium Business Corporation, have to provide financial support in accord with their purposes prescribed by law. That is the first priority for political financial institutions. Thus, each institution should minimize conduction of other institution`s business so that national resources may be allocated efficiently. Relevant laws should be revised to solve the problem of the duplication of similar functions such as financial aids for small businesses, support for overseas expansion and foreign loan guarantees. Fin-tech is one of the most profitable businesses in the financial sector. Banks need to pay attention to it to be more profitable. Banking regulations should be clarified to allow banks to own non-financial subsidiaries carrying on fin-tech related businesses.
