1) 본고는 2016년 8월부터 시행되는「금융회사의 지배구조에 관한 법률」(이하“본법”으로 표시)상「업무집행책임자」에 관한 논의를 중심으로 하며 은행의 경우로 국한한다. 업무집행 책임자는 집행임원비(非)설치회사(우리나라의 모든 은행)에서 운용하고 있는 이른바「사실상 집행임원」(비등기 경영임원)에 법적인 이름표를 달아준 것으로 보인다. 이러한 업무집행책임자제도는「사이비(似而非) 임원현상」을 더욱 복잡화하며, 사실상의 집행임원(비등기임원)현상을 제도화·고착화시키는 장치로 보인다. 또한 이들을 업무집행책임자로 이름만 바꾸어 그 임면절차에서 이사회 의결조차 필요 없도록 한 규정은 이른바 황제경영을 더욱 심화시킬지 모른다는 우려를 갖게 한다. 2) 본고의 목적은 본법상의 여러 가지 문제 가운데 하나인 업무집행책임자제도를 둘러싼 논란과 문제점을 살펴보고 이의 보완방안을 제언하는 데 있다. 본고의 구성은 Ⅱ에서 본법의 업무집행책임자와 관련된 제도를 소개한다. Ⅲ에서는 이와 유사한 제도에 관한 미국, 일본 및 독일의 예를 간략히 소개한다. Ⅳ에서 업무집행책임자와 관련된 문제점을 살펴보고 제도보완방안을 제언코자 한다. Ⅴ에서 업무집행책임자제도가 안고 있는 여러 가지 폐단과 문제점에 비추어, 업무집행책임자와 주요업무집행책임자의 구분을 폐지하고 이들의 의무와 책임에 관한 사항을 법제화할 것을 제언하고자 한다. 또한 지배주주의 영향력이 비교적 미미한 은행은 감독기능과 업무집행기능을 분리하는「집행임원설치회사」로의 전환문제를 심도 있게 고려해 볼 것을 촉구한다. 3) 은행은 황제경영을 지양하고 투명한 지배구조를 확립하기 위하여 감독과 업무집행이 분리되는「집행임원설치회사」로 전환함이 바람직하다고 생각한다. 지배주주의 영향력이 비교적 미미한 은행은 집행임원설치회사로의 전환에 있어서는 매우 유리한 조건을 갖추고 있다고 본다. 그렇게 되면 업무집행책임자·주요업무집행책임자·사실상의 집행임원 등의 존재는 불필요하게 된다. 특히 공공성이 짙은 은행들이 기업지배구조개선에 있어서 여타의 금융회사들뿐만 아니라 전체산업계에서 선도적인 역할을 할 것을 기대한다.
Recently "The Act on the Corporate Governance of Financial Companies" has been in force (Enforcement Date 01. Aug, 2016, Act No. 13453, 31. Jul, 2015). The writer has been deeply interested in "the operating officer" among the several subjects of discussion in the act. Therefore the purpose of this article is to study and consider on the operating officer, who is not a director but executes business affairs of a financial company with a title recognizable as a person having authority to execute such affairs, such as honorary chairperson, chairperson, vice chairperson, president, vice president, deputy vice president, executive director, managing director, or director. In chapter Ⅱ, the provisions are introduced concerning the operating officer and major operating officer. In chapter Ⅲ, the similar systems in United States, Japan and Germany are lightly introduced. In chapter Ⅳ, the relates questions and problems are reviewed and considered. In chapter Ⅴ, three Proposals are strongly suggested. One is to suggest the segregation of the supervising function and the managing function. The other is to suggest the legislation for the duty and liability. The last is to oppose the distinction between operating officers and major operating officers who are in charge of strategic planning, financial management, risk management, and other major affairs.
