회사법 개정에 의하여, 싱가포르의 공개회사가 차등의결권주식을 발행할 수 있게 되었다. 그러나 싱가포르 증권거래소는 아직 차등의결권주식을 가진 회사의 상장에 대한 상장 관련 규정을 제정하지 않은 것으로 보인다. 적절한 보호조치들을 갖춘 싱가포르의 차등의결권주식 상장체제는 다음과 같다. 1. 싱가포르 증권거래소는 차등의결권주식을 가진 회사의 질이 낮아지는 것을 방지하기 위하여, (1) 전체적인 평가에 따라 적합한 회사들을 승인하고, (2) 상장 관련 업무를 하는 초기 동안에, 차등의결권을 가진 회사들의 상장신청서류들을 상장감독위원회의 자문을 받게 할 것. 2. (1) 복수의결권주와 보통주의 의결권의 차이를 최대 10 : 1로 할 것, (2) 상장 후에 복수의결권주식을 발행하는 것이 금지되는 것이 원칙이지만, 예외적으로 복수의결권주와 보통 주 간의 주식비율 차이를 증가시키지 않을 주주배정의 경우에는 상장 후에 복수의결권주식을 발행하게 할 것, (3) 허용된 소지자 외의 경우에, 오너 경영자의 복수의결권주가 양도되면 그 복수의결권주가 보통주로 자동적으로 전환되게 할 것. 허용된 소지자의 범위에 오너경영자의 직계가족 또는 가족신탁이 포함되지 않도록 할 것, (4) 미래의 특정일에 복수의결 권주가 보통주로 자동전환될 수 있도록 할 것, (5) 1주 1의결권으로 상장했었던 기존 회사들이 차등의결권주식 구조를 가진 상장회사로 전환하는 것을 허용하지 않을 것. 3. (1) 이사회 의장이 독립적이지 않으면, 이사회의 절반 이상이 독립이사들로 구성되어야 하고 선임독립이사가 선임되게 할 것. 이사회 의장이 독립적이면, 이사회의 1/3 이상이 독립적이어야 하고, 지명위원회ㆍ보수위원회와 감사위원회의 과반수가 독립적이도록 할 것, (2) 독립이사를 선임할 때, 복수의결권주식의 의결권을 복수의결권주 1주당 1의결권으로 제한할 것, (3) 차등의결권주식 구조를 가진 발행자가 회사의 위험경영체제 및 정책을 감독할 때, 별개의 위험위원회를 의무적으로 두게 하는 것. 위험위원회가 3인 이상의 이사로 구성되면 좋겠고, 이사 전원(이사회 의장을 포함하여) 중 과반수가 독립적이면 좋겠음. 4. (1) 차등의결권주식 구조를 가진 회사가 주주의 권리들을 알기 쉽게 공시하게 하고, 차등의결권주식 구조를 가진 회사가 그 증권들을 독특하게 구별하게 하고, 적극적인 투자자교육을 할 것, (2) 차등의결권주식 구조의 중요한 위험들이 회사의 사업설명서에 기재되게 할 것. 발행자는 상장 시점ㆍ상장 이후의 연차보고서에, 복수의결권주식의 주주들의 주식소유비율에 관계없이, 이 주주들을 공시할 것.

This article considers the arguments for and against dual class share structures and suggests that it would be a matter of time before Singapore adopts a suitable regulatory framework to attract top-tier companies with dual class share structures to list in Singapore with appropriate safeguards to mitigate governance risks. Singapore also historically did not allow listings of dual-class companies. But with the recent amendments to the Singapore Companies Act (Cap. 50) (`Companies Act`), the previous one-share-one-vote restriction in public companies has been removed - the new section 64A of the Companies Act now allows public companies to issue shares of different classes such as those that confer special, limited, conditional voting rights or no voting rights subject to certain conditions being met. The Singapore Exchange(`SGX`) has recently sought public feedback whether to amend its listing manual to allow the listing of companies with dual class share structures. This was following the SGX`s Listings Advisory Committee (`LAC`)`s ruling in favour of allowing dual class share structures to list on SGX subject to appropriate safeguards. Possible Safeguards To minimise the risks of entrenchment of voting rights in a company, the LAC has recommended that the SGX adopts the following mitigating safeguards : 1. A maximum voting differential of 10 : 1 between shares with multiple voting rights and ordinary shares ; 2. General prohibition of issue of shares with multiple voting rights post-listing ; 3. Automatic conversion of shares with multiple voting rights to ordinary shares upon the sale or transfer of multiple vote shares (unless to permitted holders) or if the owner of such shares ceases to assume a management role in the company. To minimise expropriation risks, the LAC recommends the SGX to enhance the independence element in companies by ; 1. Mandatorily requiring the board, nominating committee, remuneration committee and audit committee of the company to comply with the Code of Corporate Governance with respect to the recommendations on board compositions and independent directors instead of a comply-or-explain basis ; 2. The appointment of independent directors of companies with dual class share structures be subject to certain restrictions (or enhanced measures) such as limiting multiple vote shares to one vote per share. To mitigate the risks of listing poor quality companies with dual class share structures, the SGX has proposed several measures, including : 1. Admission of companies based on a holistic assessment by taking into account of the listing applicant`s industry, size, operating track record and raising of funds from sophisticated investors ; 2. Referral of listing applications of companies with dual class share structures to the LAC provided that SGX had first assessed the listing applicant as being suitable for listing. To increase investors` awareness of shareholder rights by : 1. Providing prominent and clear disclosure of shareholder rights in prospectuses and complying with the safeguards prescribed in the Companies Act ; 2. Issuers should also be required to disclose the holders of multiple vote shares, regardless of shareholdings, both during listing and on a continuing basis in its annual report ; 3. More investor education initiatives
