보험계약의 특성상 보험계약자 등은 보험계약을 체결할 때‘중요한 사항’을 보험자에 대해 알려야 한다. 그런데 보험계약자 등은 보험자에 비하여 보험에 대한 전문성과 정보력의 측면에서 매우 열악한 지위에 있으므로, 고지하여야 할 중요한 사항이 무엇인지에 대해 판단하기가 쉽지 않다. 특히 인터넷이나 홈쇼핑과 같은 비대면거래의 증가와 복잡다기한 보험상품의 판매 등으로 인하여 그 판단이 더욱 어려운 상황이다. 이에 따라 해외 각국은 보험에 대한 전문성의 측면에서 우월한 지위에 있는 보험자로 하여금 보험계약상 주요 내용에 대하여 질문하도록 하고, 이러한 질문사항만을 곧 고지의무의 중요한 사항으로 한정하여 보험계약자가 이에 성실히 답변하도록 하고 있다.
그런데 우리나라 현행 상법 규정은 보험계약자로 하여금 중요한 사항에 관한 판단과 성실한 이행을 강제함으로써, 결과적으로 보험계약자가 막중한 의무와 책임을 떠안을 수밖에 없는 불합리한 구조로 되어 있다. 따라서 보험전문가인 보험자는 보험계약 체결에 있어서의 중요한 사항에 관하여 질문하고, 보험계약자 등은 이 질문에 대해 성실히 답변하면 충분한 것으로 하는 고지의무의 수동화가 필요하다. 이러한 측면에서 이 연구에서는 고지의무의 답변의무로의 전환과 관련한 ‘상법 일부개정법률안’ 등을 비교·검토하면서, 보험제도의 건전한 발전 및 보험소비자 보호를 위해 고지의무에 관한 바람직한 입법적 개선방안을 제시해 보았다.
According to insurance contracts, the insurant, etc. must notify the insurer of 'material facts' when signing insurance contracts. However, compared to the insurer, the insurant, etc. is at a very weak position in expertise and information regarding insurance, and it is difficult for them to know what are material facts thus must be notified. In particular, making such judgments have become even more difficult due to the increase of complex insurance products. Accordingly, foreign countries require the insurer, which is at a relatively superior position in terms of expertise on insurance, to ask questions about the main contents of insurance contracts. These questions limited to the major matters that must be notified so that the insurant responds to such questions dutifully.
However, regulations in the Korean Commercial Law forces judgment and diligent execution of major matters to the insurant, and therefore, it has an irrational structure in which insurant is burdened with heavy duties and responsibilities. Therefore, it is necessary to make the duty of disclosure passive so that the insurer asks questions on material facts in signing insurance contracts as an insurance expert, and the insurant, etc. simply responds honestly to such questions. From this aspect, by comparing and reviewing the 'Commercial Law partial revision laws' related to the conversion of duty for disclosure to duty for response, this study suggested an advisable legislative implication related to the duty for disclosure for the healthy development of the insurance system and to protect insurance consumers.
