현대 은행업 규제의 주목적은 시스템위험의 방지에 있는 반면, 증권업 규제의 주목적은 투자자보호와 자본시장의 효율성 도모에 있다. 이에 따라 증권업 진입규제는 부적격한 증권업자의 진입을 통제함으로써 시장과 투자자의 신뢰 도모와 효율성 제고를 목표로 한다. 증권업자는 투자자에 비해 정보면에서 우위에 있을 뿐만 아니라 투자자와 이해상충 관계에 있다. 따라서 투자자보호와 자본시장의 건전성, 공정성, 신뢰성을 담보하기 위해서는 증권업자에 대한 적절한 진입규제가 필요하다.
그러나 현행 자본시장법과 같이 지나치게 세분화된 진입단위하에서는 동시에 복수의 인가를 받아야만 특정업무가 가능할 정도로 개별 진입단위 자체의 의미가 없는 경우가 발생한다. 그 결과, 당초 목적인 진입규제의 완화가 아니라 실질적으로는 진입규제가 강화되는 효과가 발생하였다. 이런 측면에서 자본시장 고유의 업무확장성을 보장하기 위해서는 외국 사례처럼 증권업자의 진입단위 자체를 대폭 단순화하는 것이 바람직하다. 또한 진입에 필요한 물적 요건, 특히 진입자본 요건을 대폭 완화해야 한다. 금융혁신과 다양성 확보를 위해서는 진입자본 요건이 엄격해서는 곤란하기 때문이다. 영위업무의 위험도가 높거나 투자자보호필요성이 큰 일부 진입단위에 대해서는 자기자본 요건이 상대적으로 높아야 한다. 그러나 이 경우에도 자기자본 요건의 절대수준은 현재보다 대폭 완화하는 것이 바람직하다. 현재의 높은 진입규제는 과거 경쟁의 제한을 통한 증권산업의 육성 및 증권업의 신인도 제고를 위한 정책적 판단에서 기인한 것이다. 그러나 창의적인 위험인수와 다양한 섹터에서 활동하는 증권업자의 출현을 위해서는 물적 요건의 대폭적인 완화 조치가 필수적이다.
The main purpose of modern banking regulation is to prevent system risk, while that of the securities businesses regulation is to protect investors and efficiency of capital market. Therefore, the entry regulation of securities businesses has a pivotal role to prevent unsuitable firms from doing securities businesses in the capital market enhancing investor protection and promoting market efficiency. Securities firms are superior to investors in terms of information and therefore are in conflicts of interest according to the agency theory. Accordingly, the proper and efficient entry regulation of securities firms is necessary to secure investor protection and the soundness, fairness and reliability of the capital market.
However, the current entry regulation of securities firms under the Financial Investment Services and Capital Markets Act ("FSCMA") is unreasonably strong. Currently, entry units are excessively subdivided, which in practice acts as an entry barrier and hindrance to business extension. For instance, there are cases in which the individual entry unit itself is not meaningful enough to be able to perform specific services only if it has to receive multiple unit authorisation at the same time. As a result, unlike the original purpose of deregulation, the level of entry regulation has been substantially higher. In this respect, it would be desirable to significantly simplify the entry unit of the securities businesses, as in the case of U.S. and U.K., which could ensure the business scalability inherent in the capital market. In addition, the entry capital requirements for entry must also be significantly reduced. This is because the strict and heavy entry capital requirement deter financial innovation and diversity in the capital markets Of course, some entry units that are at a high risk or in need of higher investor protection, the entry capital requirements should be relatively high. Even in this case, however, it is desirable that the absolute level of the entry capital requirement should be significantly mitigated. The current high entry regulation is partially due to the policy consideration to foster the securities industry through the restriction of competition and to enhance the credibility of the securities industry. However, for the creative risk taking and the emergence of new securities firms operating in various sectors, material mitigation of entry capital requirements is essential. In short, the license system for the securities businesses should be simplified, and the entry barriers should be lowered.
