미국통일상법전(Uniform Commercial Code)상 가상화폐에 관한 담보물권 법리와 우리 사법에의 시사점

비트코인의 미래에 관하여 부정적 견해도 많지만 비트코인의 경제적 가치 때문에 투자의 대상이 되기도 하고 가까운 미래에 담보물로 활용될 가능성도 높은 것을 부정할 수는 없다. 미래의 상황에 대비하여 비트코인을 원활하게 담보물로 제공할 수 있는 법제도를 해석에 의해서든 입법에 의해서든 마련하여 둘 필요가 있을 것이다. 미국 통일상법전 제9편은 담보물이 될 수 있는 부동산 이외의 재산을 personal property라고 규정한 후 그 구체적 유형들을 열거하면서도 일반무형물(general intangibles)이라는 포괄적이며 보충적인 담보물 유형을 규정함으로써 비트코인을 이에 포함시켜 통일상법전상 담보물이 될 수 있도록 길을 열어두고 있으며, 따라서 통일상법전 제9편의 일반무형물에 관한 담보권 설정방식을 따르면 비트코인에 관하여 유효한 담보권을 설정할 수 있다. 우리의 경우 비트코인을 민법상 어떠한 존재로 취급할 것인지, 특히 물건으로 취급할 것인지 여부가 명확하지 않아 유효한 담보물권을 설정하기 위한 방법 자체가 모호한 상황이다. 아울러 재화나 용역을 구매하는 자가 현금 대신 비트코인을 지급함으로써 결제를 끝내는 경우도 점점 늘어나는 추세이다. 재화 등의 판매자가 재화 등을 판매하고 그 대금으로 비트코인을 수취하였는데 그 비트코인에 관하여 누군가 담보권이 미침을 주장하여 왔을 때 이를 반환해야 한다면 판매자는 곤란한 상황에 처하게 될 것이다. 미국 통일상법전 제9편 제315조(a)(1),(2)는 담보물이 처분된 경우 담보권자가 처분대가에 대한 물상대위 및 처분된 담보물에 관한 추급을 할 수 있도록 규정하고 있는데 통일상법전상 일반무형물의 일종인 비트코인이 담보권의 목적물인 경우 당해 비트코인을 결제수단으로 수취한 자는 그 비트코인에 관하여 담보권이 추급하여 오는 상황을 마주할 가능성이 높아 이를 회피하기 위한 법제도에 대한 관심이 높다. 우리 법제 하에서도 담보물인 비트코인을 결제수단으로 수취한 자는 민법 제249조 선의취득 요건을 갖추어야 담보권의 부담을 떨어낼 수 있다는 점에서 비트코인의 결제수단으로서의 발전가능성에 충분히 대처하고 있다고 보기는 어렵다. 이에 대한 입법적 개선이 필요하다고 생각한다. 또한 비트코인 거래소를 통하여 비트코인을 간접보유한 자는 현행법상 간접보유 중인 비트코인에 관하여 아무런 물권적 권리를 갖지 못한 채 단지 거래소에 대한 채권자일 뿐이다. 미국 통일상법전 제8편이 증권계좌를 통해 금융자산을 간접보유하는 자에게 직접보유에 준하는 수준의 물권적 권리를 부여하는 것과 구별되는 점이다. 간접보유 중인 비트코인과 관련하여 담보물권을 설정하고자 할 경우 채권자는 비트코인 자체에 관하여 전혀 물권적 권리를 행사할 수 없어 간접보유 상태인 비트코인의 담보가치를 낮게 평가할 우려가 있다. 이 역시 법제도의 개선이 필요하다고 생각한다.__

Since bitcoin came into the picture recently, the discussion of bitcoin has concentrated on whether to regulate it or not. The opponents of bitcoin assert that bitcoin will weaken the sovereignty of government over monetary policy and make money laundering easier in the future. However, bitcoin enthusiasts are concentrating on how its underlying technology(‘blockchain’) can be used for variety of purposes. They have suggested that blockchain protocol might allow financial transactions to be more inexpensive and faster than under current systems. As such, they claim bitcoin shows the possibility of becoming the underlying backbone of commerce, or new payment means that would not need the intermediation of financial intermediaries. I firstly examine the legal status of bitcoin under the Uniform Commercial Code (“UCC”). Generally the bitcoin is said to constitute a “general intangible” under UCC Article 9. But the transferee of bitcoin might be exposed to the risk of security interests reaching on it. If the owner of bitcoin choose to hold it indirectly through a financial intermediary, UCC Article 8 may provide a legal regime for eliminating the risk of reaching of security interests on bitcoin maintained at the securities account. What does the debate regarding the legal position of bitcoin as a collateral under UCC cast on korean law? Is it possible for the debtor to provide bitcoin as a collateral effectively in korean law? Is the legal rights of the customer holding bitcoin indirectly through exchanges secured from its insolvency? Does korean law support sufficiently for the possibility of bitcoin becoming new payment means? I will examine these issues in depth refering to current legislative law.
